Introduction
These Terms of Service ("Agreement") are a legal agreement between you (either an individual or a single entity, referred to herein as "you" or "your") and Bevl Limited, company number 12345618 ("Bevl Software", "we", "us", or "our"), governing your use of Bevl Software's services, software, and websites (collectively, the "Service").
By accessing or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not access or use the Service.
1. Use of the Service
a. License Grant: Bevl Software grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with this Agreement.
b. Restrictions: You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Service in any way; (ii) modify or make derivative works based upon the Service; (iii) create Internet "links" to the Service or "frame" or "mirror" any content on any other server or wireless or Internet-based device; or (iv) reverse engineer or access the Service in order to build a competitive product or service.
2. Your Responsibilities
You are responsible for all activity occurring under your user account and shall abide by all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Service, including those related to data privacy, international communications, and the transmission of technical or personal data.
3. Payment of Fees
You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. The payment terms shall be included in your agreement with Bevl Software.
4. Confidentiality
Each party agrees to keep confidential and not disclose or use except in performance of its obligations under this Agreement confidential information disclosed by the other party.
5. Warranties and Disclaimers
Bevl Software makes no representations or warranties about the suitability, reliability, availability, timeliness, security, or accuracy of the Service for any purpose. The Service is provided "as is" without warranty or condition of any kind.
6. Limitation of Liability
In no event shall either party be liable for any indirect, punitive, or consequential damages, including lost profits or business opportunities.
7. Indemnification
You agree to indemnify and hold Bevl Software, its licensors, and each such party's parent organisations, subsidiaries, affiliates, officers, directors, employees, attorneys, and agents harmless from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) arising out of or in connection with: (a) your violation of any term of this Agreement or (b) your use of the Service.
8. Termination
Either party may terminate this Agreement upon notice to the other party if the other party materially breaches any of the terms of this Agreement.
9. General
This Agreement shall be governed by the laws of the United Kingdom, without regard to its conflict of law principles. This Agreement constitutes the entire agreement between you and Bevl Software regarding your use of the Service and supersedes all prior and contemporaneous written or oral agreements between you and Bevl Software.
